These Terms and Conditions (“Terms”) govern your access to and use of the Vindy platform (the “Service”), operated by Vindy MB, legal entity code 307193971, registered address Ašmenėlės g., LT-11330 Vilnius, Lithuania (“Vindy”, “we”, “us”).

By creating an account, completing a booking or registration, or expressly accepting these Terms (for example by checking an acceptance box), you agree to these Terms. If you do not agree, do not use the Service.

Browsing public pages alone does not create a paid contract, but continued use of interactive features may still require acceptance of these Terms and our Privacy Policy.

1. The Service

Vindy is an online marketplace for recreational events and leisure activities. Depending on your role, you may:

We may update features of the Service over time. Material changes to these Terms will be reflected by updating the version and “Last updated” date. Where required by law, we will ask you to accept the updated Terms before continued use of certain features.

2. Accounts and eligibility

You must provide accurate registration information and keep it up to date. You are responsible for activity under your account and for keeping your login credentials secure.

You must be legally able to enter into a binding contract in your jurisdiction. If you use the Service on behalf of a business, you confirm that you are authorized to bind that business.

3. Roles and marketplace relationship

Vindy provides the platform and related tools. Contracts for event participation, spot hire, leisure services, and similar offerings are generally between the relevant parties (for example organizer and merchant, or leisure provider and customer), except where we expressly act as a party (for example platform commission invoicing).

Organizers, merchants, and leisure providers are responsible for the accuracy of their listings, compliance with applicable law, permits, taxes, and the fulfilment of their offers.

Additional role-specific rules are set out in the annexes below and form part of these Terms.

4. Bookings, registrations, payments, and fees

Prices, fees, and availability are shown in the Service at the time of checkout or registration. Payments are processed by third-party payment providers (including Stripe). Additional payment-provider terms may apply. Stripe may act as an independent controller for payment card data.

Platform commission, Stripe processing fees, and any listing fees applicable to your transaction are disclosed in the Service or in your organizer/merchant agreement before you confirm payment where practicable. You authorize us and our payment partners to charge the amounts shown at checkout.

Where a dispute arises between users, we may help facilitate communication but are not obliged to mediate or decide every dispute.

5. Consumer rights, withdrawals, and cancellations

5.1 Distance contracts (consumers)

If you are a consumer in the EU/EEA concluding a distance contract through the Service, you may have a statutory right to withdraw within 14 days under the Consumer Rights Directive, unless an exception applies.

5.2 Leisure and dated services exception

The right of withdrawal typically does not apply to services related to leisure activities if the contract provides for a specific date or period of performance (for example a booked stay, timed slot, ticketed event day, or dated workshop). By completing such a booking you acknowledge that the service is dated and that the statutory withdrawal right may not apply.

5.3 Listing-specific rules

Refunds, free cancellations, rescheduling, and no-show rules may be set by the organizer or leisure provider in the listing, checkout summary, or confirmation email. Those rules apply in addition to mandatory consumer protections that cannot be waived. If a listing does not state a cancellation window, contact the provider and info@vindy.lt; we are not obliged to grant refunds beyond what the provider, Stripe dispute rules, or mandatory law require.

5.4 Non-consumers

Business customers (merchants, organizers acting in a commercial capacity) are not entitled to consumer withdrawal rights.

We may suspend or terminate access when we reasonably believe these Terms or applicable law have been violated. Where practicable we will notify you and allow you to respond, except where immediate action is needed for security, fraud, or legal compliance.

7. Intellectual property

The Vindy name, branding, software, and platform content (excluding user-submitted content) are owned by Vindy or its licensors. You retain rights to content you submit, and grant us a worldwide, non-exclusive, royalty-free licence (with the right to sublicense to hosting and infrastructure providers) to host, store, reproduce, and display that content as needed to operate, promote, and improve the Service for the duration your content remains on the platform.

8. User responsibility and indemnity

You are responsible for your listings, conduct at events/activities, tax and permit compliance, and the accuracy of information you provide. To the extent permitted by law, you will indemnify Vindy against claims arising from your unlawful content, unsafe or non-compliant offerings, or breach of these Terms, except to the extent caused by Vindy’s wilful misconduct.

9. Disclaimers and limitation of liability

The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim warranties that the Service will be uninterrupted, error-free, or fit for a particular purpose.

Nothing in these Terms excludes or limits liability that cannot be excluded under Lithuanian or EU law (including liability for death or personal injury caused by negligence, or for fraud).

Subject to the above, Vindy’s aggregate liability arising out of or relating to the Service is limited to the greater of (a) the fees you paid to Vindy for the Service in the 12 months before the claim, or (b) EUR 100.

Personal data is processed as described in our Privacy Policy. Cookie and similar technologies are described in our Cookie Policy.

11. Governing law and disputes

These Terms are governed by the laws of the Republic of Lithuania. Courts of Lithuania have jurisdiction, without prejudice to mandatory consumer protection rights that may apply in your country of residence (including the right to use an ADR entity where available).
